SpeedECU – Terms and Conditions

1. Acceptance of Terms

By purchasing, ordering, receiving, downloading, installing or using any product or service provided through SpeedECU.com or its authorised tuners, the customer confirms that they have read, understood and agreed to these Terms and Conditions.

SpeedECU is a trading brand operated by Cronos Group LLC (the "Company"). References to "SpeedECU", "Company", "Supplier" or "Tuner" include Cronos Group LLC and its authorised employees, representatives, contractors and tuners acting within their authorised capacity.

These Terms and Conditions apply to all products and services including engine control unit remapping, transmission control unit tuning, chip tuning, engine tuning, transmission tuning, gear hold modifications, performance enhancements, software modifications and related programming services.

The customer must not install or use any product or service unless they understand and accept these Terms and Conditions.

Acceptance may be recorded through electronic confirmation, website checkout, written agreement or other affirmative conduct demonstrating consent.

2. Customer Acknowledgement and Assumption of Risk

The customer acknowledges that vehicle tuning and software modifications involve inherent mechanical, electrical, operational and safety risks.

These risks include but are not limited to:

Engine failure or internal engine damage.
Transmission or gearbox failure.
Increased mechanical wear and reduced component lifespan.
Turbocharger, cooling system or drivetrain damage.
Electronic system malfunction or software incompatibility.
Increased fuel consumption or changes in emissions.
Vehicle breakdown, loss of performance or unexpected behaviour.
Loss of manufacturer warranty or insurance coverage.
Personal injury, property damage or damage to third parties.

The customer voluntarily accepts the inherent risks associated with performance modifications and acknowledges that modifications may increase mechanical stress beyond the vehicle manufacturer's original specifications.

To the fullest extent permitted by applicable law, SpeedECU shall not be responsible for losses arising from these inherent risks where they are not caused by a breach of SpeedECU's legally enforceable obligations.

3. Vehicle Condition and Customer Responsibilities

All tuning files and modifications supplied by SpeedECU are intended for vehicles that are mechanically and electronically sound and maintained in accordance with applicable manufacturer requirements.

The customer is solely responsible for ensuring that:

The vehicle is in suitable mechanical condition before programming.
All relevant engine, transmission, cooling, fuel and electrical systems function correctly.
The vehicle uses suitable fuel and compatible components.
Any existing faults, previous modifications or tuning changes are disclosed.
The vehicle is properly maintained and inspected before and after tuning.
The vehicle is operated within safe mechanical and environmental limits.
The vehicle is not operated when warning lights, abnormal temperatures, unusual noises or other signs of malfunction indicate a potential safety risk.

SpeedECU is entitled to rely on information provided by the customer when determining the suitability of a tuning solution.

SpeedECU is not responsible for damage attributable to undisclosed faults, unsuitable vehicle conditions, incompatible modifications, incorrect fuel, inadequate maintenance or misuse.

Unless expressly agreed in writing, the provision of a tuning service does not constitute a comprehensive mechanical inspection or certification of the vehicle's condition.

4. Performance Disclaimer and No Guaranteed Results

SpeedECU provides performance-oriented software and vehicle programming solutions.

Actual results may vary depending on vehicle model, production year, engine condition, transmission condition, fuel quality, environmental conditions, existing modifications and individual vehicle characteristics.

SpeedECU does not guarantee specific increases in horsepower, torque, acceleration, fuel economy or other performance measurements unless expressly stated in a separate written agreement.

Any performance figures, examples, demonstrations, videos or marketing materials are illustrative and do not constitute a guarantee that identical results will be achieved on every vehicle.

5. Service Availability and Vehicle Compatibility

Not all tuning functions, features or modifications are compatible with every vehicle, engine control unit, transmission control unit, software version or hardware configuration.

The customer acknowledges that the availability of services such as gear hold, speed limiter adjustments, engine speed limiter modifications, transmission modifications and other proprietary functions may differ between vehicles.

SpeedECU will provide the applicable service or functionality that is technically supported for the customer's specific vehicle and control unit.

The purchase of a service package does not guarantee that every advertised or available tuning feature can be applied to every vehicle.

Where a fixed-price package is purchased, the price covers the applicable supported functionality described for that package rather than an entitlement to all possible modifications.

Where a specifically purchased core feature cannot be supplied, the customer's applicable statutory and contractual remedies remain unaffected.

6. Limitation of Liability

To the maximum extent permitted by applicable law, SpeedECU and its authorised tuners, employees, contractors, representatives and distributors shall not be liable for indirect, incidental, special or consequential losses arising from the purchase, installation or use of its products and services.

Such losses may include loss of use, loss of income, business interruption, towing expenses, replacement transportation costs and other consequential financial losses.

SpeedECU shall not be liable for damage caused by improper installation, misuse, unauthorised software alterations, incompatible modifications or vehicle defects unrelated to a breach of its legal obligations.

Where legally permissible, SpeedECU's aggregate contractual liability relating to a particular product or service shall be limited to the amount paid by the customer for that product or service.

Nothing in these Terms and Conditions excludes or restricts liability that cannot lawfully be excluded or restricted including mandatory consumer rights or liability arising from conduct for which an exclusion is prohibited by law.

7. Engine, Transmission and Component Failure

The customer acknowledges that performance tuning may increase the operating demands placed on engines, transmissions, drivetrains and other vehicle components.

Even vehicles that appear mechanically sound may contain pre-existing wear, hidden defects or components that cannot withstand increased operating demands.

The customer accepts responsibility for the inherent mechanical risks of performance tuning.

SpeedECU shall not be responsible for component failure resulting from pre-existing defects, ordinary wear, inadequate maintenance, improper use, incompatible modifications or operation outside safe limits.

This provision does not exclude liability for defective services where applicable law requires SpeedECU to provide a remedy.

8. Manufacturer Warranty and Insurance

Vehicle modifications may affect or invalidate manufacturer warranties, extended warranties, service agreements or insurance coverage.

The customer is responsible for confirming the effect of any modification with the vehicle manufacturer, dealership, warranty provider and insurer before proceeding.

SpeedECU does not guarantee that a modified vehicle will retain its manufacturer warranty or insurance coverage.

SpeedECU shall not be responsible for warranty or insurance disputes arising from the customer's decision to modify the vehicle except where liability cannot legally be excluded.

9. Off-Road Use and Legal Compliance

Performance tuning and related modifications supplied by SpeedECU are intended for lawful use in appropriate off-road environments, private property, closed circuits or motorsport venues where such modifications are permitted.

The customer is responsible for ensuring that any vehicle modifications comply with all applicable local laws, roadworthiness requirements, emissions regulations, registration conditions and insurance obligations.

Certain modifications may not be legal for public-road use.

SpeedECU does not authorise the use of any product or service in violation of applicable laws.

The customer agrees not to use any modified vehicle unlawfully and accepts responsibility for the consequences of their own unlawful use.

10. Intellectual Property and Ownership

All tuning files, software modifications, calibration data, programming methods, proprietary functions, technical processes and related intellectual property supplied or developed by SpeedECU remain the exclusive property of SpeedECU or its respective rights holders.

Purchasing a tuning service grants the customer a limited, non-exclusive, non-transferable licence to use the supplied software or modification on the specifically authorised vehicle.

The customer does not acquire ownership of any intellectual property, software source code, calibration methodology or proprietary programming process.

All rights not expressly granted remain reserved.

11. Unique Identification and Anti-Replication Protection

SpeedECU may assign unique serial numbers, digital identifiers, software signatures, embedded markers or other identification mechanisms to tuning files and proprietary modifications.

These mechanisms may be used to identify authorised installations, detect unauthorised duplication and establish the origin of software modifications.

The customer acknowledges that such identifiers form part of SpeedECU's intellectual property protection measures.

Any attempt to remove, modify, bypass or interfere with these identifiers for the purpose of concealing unauthorised copying or distribution is prohibited.

SpeedECU reserves the right to investigate suspected infringements and pursue available legal remedies.

12. Prohibition on Copying, Reverse Engineering and Reselling

Unless expressly authorised in writing by SpeedECU, the customer shall not:

Copy, duplicate, reproduce or distribute any tuning file.
Reverse engineer, decompile, decode or extract proprietary software or calibration methods.
Share tuning files with other individuals, tuners or commercial organisations.
Resell, sublicense, transfer or commercially exploit tuning files.
Install a vehicle-specific tune on another vehicle.
Modify or remove software identification or anti-replication mechanisms.
Reproduce or commercially exploit proprietary features including gear hold and other exclusive programming solutions.
Provide tuning files or proprietary technical information to third parties for unauthorised replication or commercial use.

These restrictions apply to the extent permitted by applicable intellectual property and other laws.

Any unauthorised activity may constitute a material breach of this agreement and infringement of SpeedECU's intellectual property rights.

SpeedECU reserves the right to seek injunctive relief, compensation for proven losses, recovery of reasonable legal costs where permitted and any other remedies available under applicable law.

13. Third-Party Claims and Indemnification

To the fullest extent permitted by applicable law, the customer agrees to indemnify and hold harmless SpeedECU, its operating company and authorised representatives against third-party claims, liabilities, damages and reasonable legal expenses arising from:

The customer's unlawful or improper use of a modified vehicle.
Unauthorised installation, duplication, modification or distribution of tuning files.
The customer's failure to disclose known mechanical defects or incompatible modifications.
Misrepresentations made by the customer concerning the vehicle or services.
The customer's breach of these Terms and Conditions.
Claims arising from the customer's own negligent or unlawful acts.

This indemnification includes qualifying claims brought by passengers, subsequent vehicle owners, purchasers or other third parties.

The indemnification shall apply only to the extent the claim arises from circumstances for which the customer is legally responsible.

Nothing in this clause requires the customer to indemnify SpeedECU for its own legally established wrongdoing where such indemnification is prohibited.

14. Vehicle Resale and Future Ownership

The customer acknowledges that software modifications may remain installed on the vehicle after it is sold, transferred or otherwise disposed of.

The customer is responsible for informing subsequent owners of known vehicle modifications and any material limitations or operating requirements associated with them.

The customer agrees to disclose relevant tuning modifications when selling or transferring the vehicle where required by applicable law.

Any licence to use a vehicle-specific tuning file remains subject to the restrictions contained in these Terms and Conditions.

The resale of a vehicle does not grant the seller or subsequent owner the right to extract, duplicate, redistribute or commercially exploit SpeedECU's proprietary tuning files.

The original customer remains responsible for breaches committed by that customer before or after the vehicle's transfer.

15. Installation, Programming and Technical Risks

The customer acknowledges that electronic programming involves technical risks including interrupted programming, incompatible software, communication errors, loss of original calibration data and temporary or permanent control unit malfunction.

The customer is responsible for following all installation instructions and ensuring suitable equipment and stable electrical power are available where remote programming is performed.

SpeedECU shall not be responsible for damage resulting from customer installation errors, unsuitable equipment, interrupted power supply, third-party software interference or failure to follow supplied instructions.

SpeedECU may refuse or suspend programming where the vehicle or programming environment is considered unsuitable.

Where a technical problem results from a defective service supplied by SpeedECU, the customer's mandatory legal rights remain unaffected.

16. Diagnostic Testing and Software Updates

Tuning modifications may affect vehicle diagnostics, manufacturer software updates, dealership servicing or electronic system compatibility.

Manufacturer updates, third-party programming or replacement of electronic control units may overwrite or remove previously installed modifications.

The customer is responsible for notifying servicing technicians of relevant vehicle modifications.

SpeedECU does not guarantee that a tuning file will remain compatible following manufacturer updates, hardware replacement or unauthorised third-party modifications.

Reinstallation, restoration or additional programming may incur charges unless otherwise agreed or required by applicable law.

The customer must not conceal a modification or interfere with lawful diagnostic, safety or emissions inspections.

17. Refunds, Returns and Cancellations

SpeedECU supplies customised electronic programming and vehicle-specific tuning services.

Once a customised tuning file has been prepared, delivered or installed, or the agreed programming service has been performed, the service is generally non-refundable except where a refund or other remedy is required by applicable law.

Refunds will not ordinarily be provided solely because:

The customer changes their mind after the customised work has commenced.
The customer expected performance improvements that were not expressly guaranteed.
The vehicle contains pre-existing mechanical or electronic defects.
The customer installs incompatible modifications.
The customer requests a different tuning configuration after completion of the agreed service.

If SpeedECU is unable to provide a purchased service or fails to deliver the service in accordance with its legally enforceable obligations, the customer shall retain any applicable right to correction, repeat performance, partial refund or full refund.

Nothing in this clause restricts mandatory consumer protection rights.

18. No Unauthorised Modification or Transfer

Any unauthorised alteration of SpeedECU software by another tuner, service provider or individual may compromise the integrity, performance and reliability of the supplied tuning solution.

SpeedECU is not responsible for failures or losses caused by such unauthorised alterations.

The customer shall not transfer vehicle-specific tuning files to another vehicle or control unit without prior written authorisation.

SpeedECU reserves the right to decline further support for files that have been modified without authorisation where permitted by law.

19. Customer Information and Authorisation

The customer confirms that all information provided to SpeedECU is accurate and complete.

The customer confirms that they are the lawful owner of the vehicle or have the vehicle owner's permission to authorise the requested programming or modification.

SpeedECU may request vehicle information including:

Vehicle manufacturer and model.
Production year.
Chassis or vehicle identification number.
Engine and transmission specifications.
Electronic control unit identification.
Existing modifications and relevant mechanical conditions.
Requested programming services.

The customer authorises SpeedECU to perform the agreed programming work based on the information provided.

SpeedECU may retain necessary transaction and technical records for service delivery, intellectual property protection, legal compliance and dispute resolution in accordance with applicable privacy laws.

20. No Unauthorised Commercial Use

Unless a separate written commercial or reseller agreement has been executed, all services purchased through SpeedECU are supplied for the authorised customer's own permitted use.

Purchasing a service does not grant permission to operate as a SpeedECU distributor, reseller, commercial tuner or authorised representative.

Commercial exploitation of SpeedECU's proprietary services, files or technical methods without written authorisation is prohibited.

SpeedECU reserves the right to pursue legal remedies against unauthorised commercial distribution or misuse of its intellectual property.

21. Service Refusal and Suspension

SpeedECU reserves the right to refuse, suspend or discontinue services where there are reasonable grounds to believe that:

The requested modification is unlawful.
The vehicle is unsuitable for the requested programming.
The customer has supplied materially incorrect information.
The customer has breached intellectual property restrictions.
The transaction involves suspected fraud or unauthorised commercial distribution.
Continuing the service would create an unacceptable technical or safety risk.

Any cancellation, refund or other remedy resulting from such action shall remain subject to applicable law.

22. Force Majeure

SpeedECU shall not be responsible for delays or failures caused by events beyond its reasonable control including natural disasters, governmental restrictions, communication failures, widespread infrastructure outages or other qualifying events.

SpeedECU shall take reasonable steps to minimise disruption and fulfil its obligations where practicable.

Any mandatory customer rights arising from prolonged non-performance shall remain unaffected.

23. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the applicable laws of the United Arab Emirates.

Subject to mandatory consumer protection laws and applicable jurisdictional requirements, disputes arising from these Terms and Conditions shall be submitted to the competent courts of Dubai, United Arab Emirates.

The parties agree to attempt to resolve disputes amicably before initiating formal legal proceedings where reasonably practicable.

24. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, that provision shall be limited or severed to the extent necessary.

The remaining provisions shall continue in full force and effect to the extent permitted by applicable law.

25. Changes to Terms and Conditions

SpeedECU reserves the right to update these Terms and Conditions from time to time.

Any changes shall take effect upon publication on SpeedECU.com or on the later effective date specified.

Changes shall not retrospectively remove or diminish rights already acquired under an existing transaction unless permitted by law and validly agreed.

The terms applicable to an order will ordinarily be those presented and accepted at the time of purchase.

26. Entire Agreement

These Terms and Conditions together with the applicable order details, product descriptions and any separately executed written agreement constitute the agreement between SpeedECU and the customer concerning the purchased service.

Where a separately executed agreement expressly overrides a provision of these Terms and Conditions, the specific written agreement shall prevail to the extent of that inconsistency unless prohibited by law.

27. Final Customer Acceptance

By purchasing, receiving, downloading, installing or using any product or service supplied through SpeedECU.com or its authorised tuners, the customer expressly acknowledges and agrees that:

Vehicle tuning involves inherent mechanical, electronic and operational risks.
The customer is responsible for the condition, maintenance and lawful operation of the vehicle.
Performance improvements and individual results are not guaranteed unless expressly agreed in writing.
Vehicle modifications may affect manufacturer warranties and insurance coverage.
SpeedECU's proprietary software and tuning files must not be duplicated, reverse engineered, transferred or resold without authorisation.
The customer accepts the applicable limitations of liability and indemnification obligations set out in these Terms and Conditions.
Refunds and remedies are governed by the terms of the agreement and applicable mandatory consumer protection laws.
The customer has read, understood and voluntarily accepted these Terms and Conditions before proceeding with the purchase or installation.

By proceeding with any transaction whether online or offline the customer confirms that they have read, understood and agreed to be bound by these Terms and Conditions.
